1. Use of Website and Platform

1.1 This website, http://www.nexusbycara.com (“Website”), and the associated online learning platform (“Platform”) are owned, hosted and operated by Cara Technology Limited, a company registered in England and Wales under company number 2242098, with registered office at Ashcombe Court, Woolsack Way, Godalming, Surrey, United Kingdom, GU7 1LQ. Our VAT number is GB 492 3199 23. References to “we”, “us” or “our” are references to Cara Technology Limited.

1.2 These terms and conditions, together with any policies referred to herein (“Terms”), apply to your use of the Website and Platform and all orders you submit for online courses, training programmes, certifications and any associated physical training kits available for purchase (together, “Products”).

1.3 These Terms apply to both business customers and individual consumers. Where a clause applies only to one category, this is clearly stated. Individual consumers benefit from statutory rights under applicable consumer protection law which are not affected by these Terms.

1.4 If you are accepting these Terms on behalf of a company or other entity, you confirm that you have authority to bind that entity, and that entity agrees to be bound by these Terms. “You” and “your” refer to you personally and, where applicable, to that entity and all its personnel.

1.5 Contact us via any of the following:

  • Online: via the contact form at http://www.nexusbycara.com
  • Telephone: +44 (0)1372 439 990, Monday–Friday (excluding English bank holidays), 08:00–18:00 UK time
  • Post: Cara Technology, Bluebird House, Mole Business Park, Station Road, Leatherhead, Surrey, KT22 7BA, UK
  • Email: hello@nexusbycara.com

1.6 You agree that all information you provide when registering is accurate, complete and not misleading, and that you will notify us promptly of any changes.

1.7 We may change, withdraw or suspend access to the Website or Platform (in whole or in part, permanently or temporarily) with or without notice and, to the maximum extent permitted by applicable law, without liability to you. Where reasonably possible, we will give you advance notice of any planned suspension.

1.8 We may deny access to the Website or Platform where we reasonably believe your use breaches these Terms, applicable law, or any third party’s rights. Where reasonably practicable, we will notify you of the reason for any such denial of access and give you an opportunity to respond.

1.9 We reserve the right to add, modify, update or remove courses, course content, learning materials and Platform features at any time. Course content is versioned, and version numbers track any material changes.

2. Linked Websites

2.1 The Website and Platform may contain links to third-party websites (“Linked Websites”). We have no control over Linked Websites and, to the maximum extent permitted by applicable law, are not responsible for their availability, content, advertising or use of your personal data, nor do we warrant the quality of products or services purchased via them.

3. Account Registration and Access

3.1 To purchase Products and access courses, you must register a user account on the Platform. Each account is for a single named individual.

3.2 You are responsible for keeping your login credentials secure and confidential at all times, and must notify us immediately if you suspect any unauthorised use of your account.

3.3 Account sharing is strictly prohibited. You must not share, transfer, sell or otherwise make your account or login credentials available to any other person. We reserve the right to suspend or terminate any account where we reasonably believe account sharing has occurred.

3.4 Course content is licensed to you for personal, on-Platform viewing and learning only. You are strictly prohibited from downloading, copying, reproducing, duplicating, saving, storing (in any medium, including local devices, cloud storage, personal note-taking applications, or any other system), redistributing, sharing, publishing, broadcasting, transmitting, screen-sharing, recording (by any means, including but not limited to screen recording, video capture, audio recording, photography, or screenshots), printing, transcribing, or otherwise making available any course content, lessons, videos, audio, images, text, quizzes, assessments, downloadable resources, or any other material accessible via the Platform, in whole or in part, whether for commercial purposes or otherwise. This prohibition applies whether the action is taken directly by you or by any third party on your behalf, and includes the use of automated tools, screen scrapers, bots, browser extensions, artificial intelligence systems, machine learning models, or any other technology to access, extract, store, replicate or process course content. Any breach of this clause constitutes a material breach of these Terms and a serious infringement of our intellectual property rights, entitling us to immediately suspend or terminate your account without refund and to pursue all available legal remedies, including injunctive relief and damages.

4. Acceptable Use

4.1 In addition to the restrictions set out elsewhere in these Terms, you agree that, when using the Website, Platform or any related services, you will not:

  • Use the Website, Platform or any Products for any unlawful, fraudulent, deceptive, harmful or improper purpose
  • Engage in any conduct that harasses, abuses, threatens, defames, intimidates or discriminates against any other user, our staff, or any third party, whether in private messages, forums, comments, live sessions, support channels or otherwise
  • Upload, post or transmit any content that is unlawful, infringing, defamatory, obscene, threatening, harassing, hateful, or otherwise inappropriate
  • Upload, transmit or distribute any virus, worm, ransomware, trojan, spyware, malicious code or other harmful component, or any code designed to disrupt, damage, gain unauthorised access to, or impair the functionality of the Platform or any user device
  • Attempt to gain unauthorised access to any part of the Platform, any account other than your own, any data, server, computer system or network connected to the Platform, or any feature for which you have not been granted access
  • Attempt to interfere with, disrupt or compromise the security, integrity, stability or availability of the Platform, including via denial-of-service attacks, security testing without our prior written consent, or stress-testing of any kind
  • Impersonate any other person or entity, misrepresent your affiliation with any person or entity, or use false or misleading account or registration information
  • Use the Website, Platform or any Products in any manner that could disable, overburden, damage or impair them, or interfere with any other user’s use of them
  • Attempt to bypass, circumvent or defeat any access restrictions, content protections, paywalls, regional restrictions, watermarking or digital rights management technologies applied to the Platform or course content
  • Use any robot, spider, scraper, automated tool, browser extension or other means to access, monitor, harvest or copy any portion of the Platform or its content, except where expressly permitted by us in writing
  • Solicit login credentials, personal data, or commercial information from other users
  • Use the Platform to send unsolicited communications, advertising, promotions or spam, or to recruit users for competing services

4.2 We may investigate any actual or suspected breach of this clause 4, and may suspend access pending investigation. Where we reasonably believe a breach has occurred, we may take any action we consider appropriate and proportionate, including warning the user, restricting access, suspending or terminating the account, invalidating any certificates obtained in connection with the breach, reporting the matter to law enforcement or regulatory authorities, and seeking damages and other remedies.

5. How the Contract is Formed

5.1 You may place orders for Products via the Website.

5.2 After you place an order you will receive an acknowledgement email confirming receipt. This is not acceptance of your order. Your order constitutes an offer to buy.

5.3 For digital-only courses, we accept your order when we send a confirmation email confirming that your account has been enrolled and access has been provisioned. The contract between us (“Contract”) is formed at that point, and your access period begins.

5.4 For courses that include a physical training kit, we accept your order when we send a confirmation email confirming enrolment for the digital course and acknowledging the order for the physical kit. The Contract is formed at that point, and your digital access period begins. Dispatch of the physical kit is governed by clause 7.

5.5 Before submitting an order you will be able to review your selection, check the total price and correct any errors.

5.6 We may propose changes to the quantity of Products in an order (for example, where you order multiple group seats and we need to clarify allocation). If you do not agree, you may reject the order without penalty.

6. Digital Course Access

6.1 Each course or programme purchased provides time-limited access to the relevant digital course content. The standard access periods are: (a) 90 days from the date of enrolment for purchases of individual modules; and (b) 180 days from the date of enrolment for purchases of the full programme (covering all modules within the full programme). Any different access period applicable to a specific Product will be stated at the point of purchase.

6.2 Your access period begins on the date your account is enrolled in the relevant course or programme, regardless of when (or whether) you first log in to access the content.

6.3 Access expires automatically at the end of the access period. After expiry, you will no longer be able to view course content, lessons, quizzes or downloadable materials. Certificates you have earned during the access period remain available in your account.

6.4 Extensions to the access period are not available as a matter of course. We may, acting reasonably, grant a free extension where we determine that you were prevented from accessing the course as a result of a technical issue attributable to us (for example, a Platform outage or a confirmed account access failure). Extensions will not ordinarily be granted on grounds of personal circumstance, change of priority, workload, or insufficient time to complete the course.

6.5 Once an access period has expired, you must purchase the course or programme again to regain access.

7. Physical Training Kits

7.1 Where a course is purchased with an accompanying physical training kit, the kit will be dispatched separately from the activation of your digital course access. Digital course access is not contingent upon receipt of the physical kit.

7.2 Door-to-door service. We use door-to-door international courier services to fulfil all kit dispatches. We arrange collection of your kit from our UK premises and delivery directly to the address you specify at checkout. We will provide you with a tracking reference.

7.3 What is included in our delivery charge. The delivery charge shown at checkout covers collection from our UK premises, international courier transit, standard packaging and handling, and shipment tracking.

7.4 Customs valuation. Physical training kits accompanying digital courses are dispatched on a standalone basis at the genuine commercial value of the physical materials only. The value of the digital course (which is delivered separately via the Platform and constitutes a distinct deliverable) is not included in the customs valuation of the physical shipment. This reflects the actual nature of the transaction: the digital course is a service delivered online, while the physical kit is a discrete consignment of tangible goods.

7.5 What is NOT included — your sole responsibility. The delivery charge does not cover any costs arising upon or after importation of the kit into your country. You are solely responsible for all of the following:

  • Customs duties and import tariffs levied by your country’s customs authority
  • Import VAT or equivalent sales tax payable on importation
  • Excise duties applicable to the kit contents under local law
  • Customs broker or clearance fees charged by the courier or any third-party agent
  • Inspection, examination or storage fees charged by customs or any border authority
  • Re-delivery charges arising from delayed or failed customs clearance
  • Fines, penalties or confiscation costs arising from your failure to comply with applicable import regulations or to hold required licences or permits

We strongly recommend you obtain an estimate of applicable import costs before ordering, as these vary considerably by country.

7.6 Your import compliance obligations. It is your responsibility to ensure that the kit contents are permitted to be imported into your country, that you hold any required import licences, registrations, permits or authorisations, and that you pay all applicable duties, taxes and charges promptly. We make no representation that kit contents are importable into any particular jurisdiction.

7.7 Kit contents, safe handling and use. Physical training kits may contain reference compounds, flavour standards, and other materials intended for sensory training and evaluation. You are responsible for:

  • Reviewing all instructions, safety information and labelling supplied with the kit before use
  • Storing kit contents in accordance with the storage instructions supplied (typically cool and dry, away from direct sunlight)
  • Using kit contents only for their intended purpose (sensory training, evaluation and proficiency testing) and in accordance with the supplied instructions
  • Complying with all applicable local laws and regulations relating to the storage, handling, use and disposal of the kit contents, including any food safety, laboratory safety, or chemical handling regulations applicable in your jurisdiction
  • Ensuring kit contents are kept secure and inaccessible to anyone for whom they are not intended

We accept no liability for any harm, loss or damage arising from your failure to comply with supplied instructions or applicable local laws.

7.8 Customer-attributable delivery failures. Where a delivery failure is attributable to circumstances within your control — including an incorrect or incomplete delivery address, unavailability to accept delivery, or failure to comply with import or customs requirements — the following process applies:

7.8.1 First re-delivery attempt: We will arrange a further delivery attempt at your expense. Prior to re-dispatch, you must provide a verified delivery address and a secondary contact number or email address, and arrange payment of the applicable re-delivery charge.

7.8.2 Second re-delivery attempt: Should the first re-delivery attempt also be unsuccessful, one further and final delivery attempt may be arranged on the same terms.

7.8.3 Order cancellation following two unsuccessful delivery attempts: Where a second re-delivery attempt is also unsuccessful, no further attempts will be made. We will cancel the kit portion of the order and issue a refund for the kit price only, subject to clause 10. Delivery and re-delivery charges paid are non-refundable in such circumstances. Your digital course access is unaffected.

7.9 Supplier or carrier-attributable delivery failures. Where a delivery failure is attributable to an error on our part or a failure by the carrier, we will rectify the details and arrange re-despatch at no cost to you.

7.10 Delivery dates in any confirmation are estimates only. Customs clearance timescales are outside our control. Delivery will take place within a commercially reasonable time.

7.11 No delay in kit delivery entitles you to cancel the digital course portion of your purchase or claim a refund for digital access. Risk in the physical kit passes to you on delivery to your specified address.

8. Price and Payment

8.1 Prices are quoted in British Pounds Sterling (GBP), US Dollars (USD) and Euros (EUR), as shown on the Website, subject to correction of obvious error. Prices in USD and EUR are calculated by reference to the prevailing exchange rate at the time the price is displayed, and may fluctuate from day to day. The price applicable to your order is the price displayed at the point of checkout for that order. Where you pay in a currency other than GBP, your bank or card issuer may apply additional conversion charges, for which you are solely responsible.

8.2 Unless stated otherwise, prices are exclusive of VAT or equivalent sales tax, which is payable by you at the prevailing rate where applicable. Business customers must provide a valid VAT number (or equivalent) at the point of purchase.

8.3 Prices for courses with physical kits are presented as a combined total at checkout. The price of the physical kit and the price of the digital course are itemised separately on your invoice for clarity and for customs purposes.

8.4 Prices may change at any time, but changes will not affect orders already confirmed. Currency conversion costs, international bank transfer fees, and any charges applied by your bank or payment provider are your sole responsibility.

8.5 We verify prices during order processing. If the correct price is lower than stated, we will charge the lower amount. If higher, we will contact you or cancel your order and notify you.

8.6 If a pricing error is obvious and should have been recognisable as such, we are not obliged to supply Products at the incorrect price.

8.7 We may issue invoices electronically. You consent to this form of invoicing.

8.8 Payment must be made by credit or debit card at the time of ordering, unless we have agreed alternative terms with you in writing (for example, where you hold a business account with us). We accept major credit and debit cards including Visa, Mastercard, American Express and others as displayed at checkout.

8.9 You confirm the card used belongs to you (or the entity you represent), that all details provided are accurate, and that the card is valid.

8.10 Payment is not deemed received until we have received cleared funds in full. Access to digital courses will not be provisioned, and physical kits will not be dispatched, until payment has cleared.

8.11 Purchase orders. We may, acting reasonably, accept orders from business customers on purchase order terms, subject to the following conditions: (a) the minimum order value is £500 (excluding VAT and delivery); (b) the customer must provide a valid purchase order number issued by an authorised representative of the purchasing organisation; (c) our standard payment terms are 30 days from the date of invoice; (d) longer payment terms may be agreed in writing on a case-by-case basis; (e) access to digital courses will only be provisioned, and physical kits will only be dispatched, once the order has been accepted by us and the relevant approval criteria have been met; and (f) we reserve the right to require payment in advance, decline purchase order terms, or require alternative security for any order where we reasonably consider this necessary.

8.12 Proforma invoices and quotes. Where a customer requests a proforma invoice or formal quotation in advance of placing an order (for example, to facilitate internal approval, budget allocation, or purchase order issuance), the price quoted on the proforma invoice or quotation is valid for a period of 30 days from the date of issue. After 30 days, the price quoted is no longer guaranteed and a new proforma invoice or quotation must be requested. Any new quote will reflect the prices, exchange rates, and terms in effect at the date of re-issue. The issuance of a proforma invoice or quotation does not constitute acceptance of an order. A Contract is only formed in accordance with clause 5.

8.13 Late payment. Without prejudice to any other rights or remedies available to us, we reserve the right to charge interest on overdue invoices at the statutory rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend access to courses and the Platform for users associated with the overdue account until payment is received in full.

9. Consumer Cancellation Rights — Digital Content

9.1 This clause applies only to individual consumers (not business customers) purchasing for purposes outside their trade, business, craft or profession.

9.2 Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers ordinarily have a 14-day right to cancel a purchase. However, this right does not apply to digital content once the supply of that content has begun, where the consumer has given express consent to immediate supply and acknowledged that the right to cancel will be lost.

9.3 By proceeding to checkout for a digital course and ticking the relevant checkbox at the point of purchase, you expressly consent to the immediate supply of digital content and acknowledge that you will lose your statutory right of cancellation under the 2013 Regulations once your enrolment has been activated.

9.4 Notwithstanding the above, we offer the additional refund rights set out in clause 10, which apply to all customers (consumer and business) in place of statutory cancellation rights where those have been waived.

10. Refunds

Digital-only courses

10.1 You may request a refund of a digital-only course or programme within 14 days of the date of enrolment, subject to the following progress-based thresholds, measured by the Platform’s course progress tracking:

10.1.1 Where you have not accessed any course content (0% progress): a full refund of the course or programme price.

10.1.2 Where you have accessed less than 25% of the course content: a 50% refund of the course or programme price.

10.1.3 Where you have accessed 25% or more of the course content: no refund is available.

10.2 After 14 days from the date of enrolment, no refunds are available, regardless of how much course content has been accessed.

10.3 Refund requests must be made in writing to hello@nexusbycara.com and must include your account email address and the course or programme concerned.

Courses with physical training kits

10.4 Where a course is purchased with a physical training kit, the digital course portion and the physical kit portion are treated separately for refund purposes.

10.5 Digital course portion: refundable in accordance with clauses 10.1 to 10.3.

10.6 Physical kit portion: a refund of the kit price is available only where the kit is returned to us unopened, in its original packaging, undamaged and in saleable condition, within 14 days of delivery. The cost of return shipping, and responsibility for safe return of the kit, is the customer’s. Where the kit has been opened, used, or returned damaged, no refund of the kit price is available.

10.7 Delivery and re-delivery charges are non-refundable except where the delivery failure is attributable to us or our carrier (see clause 7.9).

10.8 Where the digital course has been accessed beyond the 25% threshold but the physical kit is returned unopened within the qualifying period, only the kit portion will be refunded.

General refund terms

10.9 Refunds will be issued to the original payment method within a reasonable period (typically 10 business days) of our agreement to refund. We do not issue cash refunds.

10.10 We may determine, acting reasonably, that a physical return of a kit is not practicable — for example where the logistics, cost or regulatory requirements of return from your country make it unreasonable to require. In such cases, we may offer a reimbursement or replacement in lieu of a physical return.

10.11 Where your account is terminated by us due to your breach of these Terms (including breach of clauses 3.3, 3.4 or 4), no refund will be issued for any unused portion of your access period.

11. Group and Organisational Purchases

11.1 Business customers may purchase multiple seats for use by employees or members of their organisation (“Group Seats”). The customer placing the order (“Group Administrator”) is responsible for allocating seats to named individuals.

11.2 Each Group Seat, once enrolled against a named user, is permanently tied to that user for the duration of the access period. Seats cannot be reassigned, transferred or shared between individuals once enrolment has taken place.

11.3 Group Administrators may hold unassigned seats in reserve and allocate them to named users at any point during the validity of the purchase, subject to clause 11.4. Once a user is enrolled against a seat, the applicable access period for that seat (as set out in clause 6.1) begins.

11.4 Unassigned seats must be allocated within 12 months of purchase. After that period, unallocated seats expire and no refund is available.

11.5 Course progress, completion records and certificates are attached to the individual user who is enrolled against a seat. Where a user leaves the purchasing organisation, their progress and certificates remain attached to their personal user record and do not transfer to any other individual.

11.6 Group Seats may not be transferred, sold or otherwise made available to any individual or entity outside the purchasing organisation.

11.7 The Group Administrator is responsible for ensuring that all users they enrol comply with these Terms, and the purchasing organisation is jointly and severally liable with each enrolled user for any breach.

Group Administrator visibility and reporting

11.8 Group Administrators are provided with reporting and visibility tools that allow them to monitor the training progress of users enrolled against their Group Seats. Specifically, Group Administrators are able to view, for each enrolled user:

  • The user’s name and the email address used to enrol them
  • The course or courses to which they have been enrolled
  • The date of enrolment and the date on which their access period expires
  • Their progress through each course (typically expressed as a percentage of content completed)
  • Quiz and assessment scores
  • Whether the user has been issued a completion certificate, and the date of issue

11.9 Group Administrators do not have access to:

  • The user’s direct interactions with course content (for example, time spent on individual lessons, replay activity, or note-taking)
  • Any personal information provided by the user that is not necessary for training administration
  • Any communications between the user and us

11.10 Where users are enrolled by a Group Administrator on behalf of an organisation, the user is informed at the point of enrolment that their training progress, assessment results and certificates will be visible to their organisation’s nominated Group Administrator(s). By accepting enrolment, the user acknowledges and consents to this visibility.

11.11 The purchasing organisation is responsible for ensuring that its handling of enrolled users’ training data complies with applicable data protection law, including providing appropriate transparency to those users about how their training data will be used internally.

12. Certificates and Assessment Integrity

12.1 Upon successful completion of a course, in accordance with the completion criteria specified for that course (which may include passing assessments, completing quizzes or working through all required content), the Platform will issue a digital completion certificate in the name of the enrolled user.

12.2 Certificates issued by Nexus by Cara Technology are completion certificates only. They evidence that the named user has successfully completed the relevant course on the Platform. They do not constitute accreditation, certification or recognition by any external industry body, regulator, or awarding organisation unless we expressly state otherwise for a specific course.

12.3 Certificates remain available in the user’s Platform account after the course access period has expired, provided the user account itself remains active.

Assessment integrity

12.4 Assessments, quizzes and other forms of evaluation form part of the course content and contribute to the issue of completion certificates. To preserve the integrity of these assessments, you must not:

  • Use any artificial intelligence system, automated tool, large language model, or third-party assistance during the completion of an assessment, unless we expressly permit such use for a specific assessment
  • Collaborate with any other person on an assessment, unless the assessment is expressly designated by us as collaborative
  • Share, distribute, post, publish or otherwise disclose the questions, answers, scenarios or content of any assessment to any other person, whether before, during or after taking the assessment
  • Take an assessment on behalf of any other person, or allow any other person to take an assessment on your behalf
  • Use multiple accounts, false identities, or any other means to attempt assessments multiple times beyond the permitted number of attempts
  • Misrepresent your identity, qualifications, or circumstances in connection with any assessment
  • Attempt to access assessment questions or answer keys outside the intended assessment environment

12.5 We reserve the right to invalidate assessment results, withhold or revoke certificates, suspend or terminate accounts, and report incidents of assessment fraud to relevant third parties (including, where applicable, the user’s employer in the case of Group Seat enrolments) where we reasonably believe an assessment has been completed in breach of clause 12.4.

12.6 We reserve the right to revoke any certificate where we determine, acting reasonably, that it was obtained in breach of these Terms (including through account sharing, assessment fraud, misrepresentation, or other breach of assessment integrity).

13. No Guaranteed Outcomes and Educational Reliance

13.1 Our courses are provided for educational and training purposes only. They are designed to support the development of knowledge and skills in sensory analysis, brewing science, microbiology and related areas of food and beverage quality control.

13.2 We do not guarantee, warrant or represent that:

  • Any particular learning outcome, skill, competency or level of performance will be achieved by any user
  • Successful completion of any course will result in any particular employment, career advancement, professional certification, regulatory licence or commercial outcome
  • A user who completes a course will pass any internal validation, proficiency test, or competency assessment operated by their employer or any other third party
  • Any commercial, financial, operational or quality-control benefit will result from completion of a course
  • Any user’s sensory acuity, tasting performance or analytical capability will improve to any particular level following completion of a course

13.3 Our courses provide general training information and are not a substitute for: (a) professional advice; (b) compliance with applicable regulatory, food safety, or industry standards in your jurisdiction or industry; (c) internal validation, calibration or proficiency testing operated by your organisation; or (d) the exercise of professional judgement by appropriately qualified personnel.

13.4 You remain solely responsible for all operational, quality control, regulatory and commercial decisions taken in your organisation or in connection with your work, whether or not those decisions are informed by training received via the Platform. We accept no liability for any operational, commercial, financial, reputational or quality-control outcome arising from the application of training content in any working environment.

13.5 Where course content references regulatory standards, methods, specifications or industry practices, such references are for educational purposes only and may not reflect the most current version of the relevant standard. Users are responsible for verifying the current authoritative version of any standard relevant to their operations.

14. Intellectual Property

14.1 All intellectual property rights in and to the Website, the Platform, course content, learning materials, downloadable resources, assessments, certificates, branding, trade marks, illustrations, photography, video, audio and logos are owned by us or our licensors. These Terms do not grant you any intellectual property rights in any of the above except the limited personal-use licence set out in clause 14.2.

14.2 Subject to your compliance with these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view course content via the Platform for your personal learning purposes during your access period.

14.3 You must not:

  • Download, copy, reproduce, duplicate, save, store (in any medium, including local devices, cloud storage, personal note-taking applications, or any other system), modify, adapt, translate, distribute, transmit, broadcast, screen-share, screen-record, video-record, audio-record, photograph, screenshot, print, transcribe, or publicly display any course content, in whole or in part
  • Use any automated tool, scraper, bot or similar technology to access, extract or copy content from the Platform
  • Reverse engineer, decompile or otherwise attempt to derive the source code, structure or underlying ideas of the Platform
  • Use Platform content for any commercial training purpose other than your own personal learning
  • Remove, alter or obscure any copyright, trade mark or other proprietary notice

14.4 You must not use images, video or other visual or audio representations of our Products, Platform content or branding for any commercial marketing or promotional purpose without our prior written consent.

AI and machine learning prohibition

14.5 Without limiting any other provision of these Terms, no part of the Platform, no course content, no learning materials, no assessment content, no certificate content, and no other material accessible via or derived from the Platform may, in whole or in part, be used to:

  • Train, fine-tune, pre-train, post-train, distil, or otherwise develop any artificial intelligence model, machine learning model, large language model, generative model or similar system
  • Prompt, ground, retrieval-augment, contextualise, condition or otherwise inform the output of any such system
  • Benchmark, evaluate, test or validate any such system
  • Create derivative works that incorporate Platform content into any such system or its outputs
  • Be ingested, indexed, embedded or otherwise processed by any system intended to produce outputs that compete with, substitute for, or derive value from our courses or training materials

This prohibition applies regardless of whether the use is for commercial, research, educational, personal or any other purpose. It applies to you and to any third party acting on your behalf or with your authorisation. We expressly reserve all rights in respect of the use of our content for AI and machine learning purposes.

14.6 Breach of this clause 14 is a material breach of these Terms and entitles us to suspend or terminate your account immediately, without refund, and to seek damages and injunctive relief.

15. Platform Availability and Technical Requirements

15.1 We use reasonable endeavours to ensure the Platform is available and operational. However, we do not guarantee uninterrupted access. The Platform may be unavailable from time to time due to scheduled maintenance, unscheduled maintenance, technical issues, third-party service failures, or events beyond our reasonable control.

15.2 Where reasonably possible, we will give advance notice of scheduled maintenance via the Platform or by email.

15.3 Temporary unavailability of the Platform does not in itself constitute a breach of these Terms, and does not entitle you to a refund. Where Platform unavailability materially prevents you from accessing a course for a significant portion of your access period, clause 6.4 applies and we will consider a free extension on request.

Your technical responsibilities

15.4 You are responsible for ensuring that you have the technical equipment and connectivity necessary to access the Platform. This includes:

  • A reliable internet connection of sufficient speed to stream video content
  • A compatible device (desktop, laptop, tablet or mobile device) running a current and supported operating system
  • A current and supported web browser (we recommend the latest version of Chrome, Firefox, Safari or Edge)
  • Speakers, headphones, or other audio capability where course content includes audio elements
  • Sufficient available storage and processing capability on your device
  • Up-to-date security software where appropriate

15.5 We are not responsible for issues arising from your equipment, your internet connection, outdated browsers or operating systems, third-party browser extensions or security software interfering with the Platform, or any other circumstance within your technical control. We recommend you check Platform compatibility before purchase.

16. Suspension and Termination

16.1 We may suspend or terminate your access to the Platform, or any individual course, where we reasonably believe you have breached these Terms.

16.2 Temporary suspension. We may suspend your access on a temporary basis, including pending investigation of a suspected breach. During a suspension, you will not be able to access course content but your account record, completion progress and any certificates already issued will be preserved (except where the certificates are themselves the subject of the suspected breach).

16.3 Termination. Where, following investigation, we determine that a material breach of these Terms has occurred, we may terminate your account. On termination:
